1. Overview & Acceptance
EverWealth (“we,” “us,” or “our”) operates a portfolio intelligence platform that helps you model strategies, visualize holdings, and orchestrate automation across brokerages. By creating an account or accessing the Service, you agree to these Terms of Service, our Privacy Policy, Cookie Policy, and Investment Disclaimer (collectively, the “Agreements”). If you do not agree, do not access EverWealth.
We may update these Terms to reflect regulatory guidance, new features, or business needs. Material updates will be announced in-product or via email with a new “Last updated” date. Continued use constitutes acceptance of the revised Terms.
2. Eligibility & Account Security
You must be at least 18 years old and capable of entering into legally binding contracts. EverWealth is intended for sophisticated individual investors, advisors, and investment teams who can evaluate risk independently. You are responsible for safeguarding your credentials, enabling multi-factor authentication, and immediately notifying us at security@everwealth.app if you suspect compromise.
3. Description of Service
EverWealth provides tooling to ingest holdings, analyze performance, generate backtests, and experiment with systematic strategies. We may integrate with third-party market data, brokerages, clearing firms, and analytics vendors. The Service is informational only—we do not execute trades, act as a custodian, or provide individualized investment advice.
Core capabilities include:
- Manual or automated import of holdings, transactions, and strategy parameters
- Scenario analysis, stress testing, and backtesting using historical data
- Portfolio visualization (allocation, sector, brokerage, risk metrics)
- Goal tracking, insights, and workflow automation
4. Market Data & Third-Party Services
Market data, news, alternative datasets, and charting utilities are provided by licensed data vendors subject to their own terms. You agree not to redistribute data outside EverWealth without the vendor’s consent. We may replace vendors or throttle access to remain compliant with exchange licensing rules.
5. Subscriptions & Payment
Certain features may require a paid subscription. Fees, renewal cadence, and applicable taxes will be shown during checkout. Unless stated otherwise, subscriptions auto-renew until cancelled. You may cancel at any time; cancellations become effective at the end of the current billing cycle and we do not issue prorated refunds.
6. Acceptable Use
You may only use EverWealth for lawful purposes. You agree not to:
- Interfere with other users, the Service architecture, or security controls
- Reverse engineer or attempt to extract source code or proprietary models
- Upload malicious code, scrapers, bots, or unauthorized data feeds
- Use EverWealth to provide investment services to others without proper registration
- Misrepresent performance, data provenance, or ownership of uploaded content
We reserve the right to suspend or terminate accounts that violate these standards or expose the platform to regulatory or cybersecurity risk.
7. No Investment, Legal, or Tax Advice
EverWealth is not a broker-dealer, investment adviser, investment company, or commodity trading advisor. The Service does not provide personalized recommendations, fiduciary advice, or suitability determinations. All analytics, backtests, risk scores, and AI-generated insights are hypothetical and for research purposes only. You are solely responsible for investment decisions and compliance with applicable securities, derivatives, and tax regulations.
8. User Content & Data Rights
You retain ownership of the data you upload (e.g., holdings, notes, strategy definitions). By submitting data, you grant us a non-exclusive, royalty-free license to host, process, analyze, and display that content solely to provide the Service. We implement industry-standard security controls and will never sell your personal information.
When you connect external accounts (brokerages, custodians, or APIs), you authorize us to retrieve and store the data those providers expose. You represent that you have the right to share such data and that doing so does not violate confidentiality or contractual obligations.
9. Compliance & Regulatory Disclosures
EverWealth is developed by EverWealth Collective LLC, a U.S.-based financial technology company. We are not registered with the SEC, FINRA, CFTC, FCA, or any other regulator as a financial institution. The platform should not be used to route orders, solicit investments, or market securities. If you provide services to clients using EverWealth, you must ensure your activities are appropriately registered and that you obtain consent before sharing client data.
10. Warranty Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. We expressly disclaim any warranties of merchantability, fitness for a particular purpose, non-infringement, data accuracy, uninterrupted availability, or error-free operation.
11. Limitation of Liability
To the fullest extent allowed by law, EverWealth and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim will not exceed the greater of (a) fees you paid to use the Service during the six (6) months preceding the claim or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow limitations of liability, so certain limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless EverWealth, its officers, employees, contractors, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your misuse of the Service, (b) your violation of these Terms, (c) your infringement of any intellectual property or other rights, or (d) disputes with your clients or counterparties.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles. Any dispute must first be negotiated in good faith. If unresolved within thirty (30) days, the dispute will be submitted to binding arbitration administered by JAMS under its Comprehensive Arbitration Rules in New York, New York. You and EverWealth waive the right to a jury trial and to participate in class actions. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
